1. Acceptance of these terms

These Terms of Service (“Terms”) govern your access to and use of the website located at briovela.com and its subdomains (the “Site”), operated by Briovela LLC, an Arizona limited liability company (“Briovela,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

These Terms apply to Site visitors. If you later purchase a subscription to the Briovela platform, your use of the platform will be governed by the Client Service Agreement, which controls in the event of a conflict.

2. Eligibility

The Site is intended for individuals who are at least 18 years of age. By using the Site, you represent that you are 18 or older and have the legal capacity to enter into these Terms. The Site is not directed to children, and we do not knowingly collect information from anyone under 18.

3. Permitted use

You may use the Site for lawful purposes to learn about Briovela, contact us, and sign up for updates. You agree not to:

  • use the Site in any way that violates applicable law or regulation;
  • attempt to gain unauthorized access to the Site, its servers, or any connected systems;
  • probe, scan, or test the vulnerability of the Site, or interfere with its operation;
  • scrape, harvest, or collect information from the Site by automated means without our prior written consent;
  • impersonate any person or entity, or misrepresent your affiliation;
  • upload or transmit malware, or use the Site to send unsolicited communications.

Platform customers are also bound by our Acceptable Use Policy.

4. Intellectual property; limited license

The Site and all of its content — including text, graphics, logos, designs, page layouts, software, and the Briovela name and marks — are owned by Briovela LLC or its licensors and are protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal or internal business evaluation purposes. No other rights are granted.

5. User submissions

If you submit information through the Site — for example, via a contact form or email signup — you represent that the information is accurate and that you have the right to provide it. You grant us a license to use your submission to respond to you and operate our business, as described in our Privacy Policy. Do not submit confidential or proprietary information through public forms.

6. SMS / text messaging terms

If you opt in to receive text messages from Briovela (for example, launch updates or account notifications), the following terms apply:

  • Program description and business identity. Messages are sent by Briovela LLC, an Arizona limited liability company, and relate to Briovela product updates, launch notifications, and service communications.
  • Opt-out. You can cancel the SMS service at any time. Text STOP to the number from which you received messages. After you send STOP, we will send one final message confirming that you have been unsubscribed, and you will receive no further messages. To rejoin, sign up again through the Site.
  • Help. If you experience issues or want more information, text HELP to the same number, or contact us at team@briovela.com.
  • Carrier liability. Carriers are not liable for delayed or undelivered messages.
  • Message frequency and rates. Message and data rates may apply for any messages sent to you from us and from you to us. Message frequency varies; up to 4 messages per month. If you have questions about your text plan or data plan, contact your wireless provider.
  • Privacy. For questions about how we handle your data, see our Privacy Policy. No mobile information or opt-in data is shared with third parties or affiliates for marketing or promotional purposes.
  • Age. The SMS program is available only to individuals 18 years of age or older.

6a. Who we are; payments

Briovela LLC is a technology company — not a bank, money transmitter, or financial institution. Where our products involve payments or the movement of money, those services are provided by our licensed payment partner, Stripe; we do not hold, custody, or transmit funds. In addition to providing our platform to business clients, we may also sell products and services directly as a merchant in our own right.

7. Third-party links

The Site may contain links to third-party websites or services. We do not control and are not responsible for third-party sites, their content, or their privacy practices. Links do not imply endorsement.

8. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. INFORMATION ON THE SITE IS FOR GENERAL INFORMATIONAL PURPOSES AND DOES NOT CONSTITUTE PROFESSIONAL ADVICE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIOVELA LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless Briovela LLC and its members, managers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use or misuse of the Site, (b) your violation of these Terms, or (c) your violation of any law or the rights of a third party.

11. Changes to these terms

We may revise these Terms from time to time. The “Last updated” date and document version reflect the most recent version. Material changes will be posted on the Site. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

12. Governing law and venue

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to personal jurisdiction and venue there.
